1. Scope

These General Terms of Use apply to the use of the website flowstate365.de, to all business contacts, demo requests, appointment arrangements, product inquiries and contact requests initiated thereby, as well as to other pre-contractual legal relationships between FLOWSTATE and the respective user.

This website and the services initiated through it are directed exclusively at entrepreneurs within the meaning of Section 14 BGB (German Civil Code), at legal entities under public law, and at special funds under public law. There is no offer to consumers.

Deviating, conflicting or supplementary terms of the user shall not apply, even if FLOWSTATE does not separately object to their validity in an individual case.

5. No conclusion of contract via the website

A contract for software services, pilot projects, implementations, consulting services, data connections, trial access or other services is not concluded through the use of this website, through the submission of an inquiry, through a waitlist registration or through the arrangement of a demo appointment.

FLOWSTATE is entitled to change, restrict, further develop or discontinue the website as well as individual content, functions, structures, descriptions and links at any time, in whole or in part.

9. Intellectual property, protective rights, reverse engineering

All rights to the website and its components remain exclusively with FLOWSTATE or the respective rights holders. Without an express written confidentiality agreement, FLOWSTATE is not obliged to treat unsolicited information as confidential.

11. Confidentiality in favor of FLOWSTATE

All non-public information about FLOWSTATE (in particular product-related concepts, modules, processes, roadmaps, methodologies, pricing logic, technical architectures, demo content and other information disclosed in the context of inquiries, demos or discussions) must be treated as confidential and may neither be disclosed to third parties nor used outside the purpose of evaluating a possible business relationship without the prior consent of FLOWSTATE.

Statutory confidentiality rights, the protection of trade secrets, as well as more extensive individually agreed confidentiality agreements remain unaffected.

12. External links and third-party content

Insofar as the website contains links to external websites or content of third parties (for example to Cal.com for external appointment booking or to LinkedIn profiles of the founders), FLOWSTATE does not adopt this content as its own. FLOWSTATE assumes no responsibility for external content.

13. Liability

FLOWSTATE is liable without limitation in cases of intent and gross negligence as well as under the mandatory statutory provisions, in particular for injury to life, body or health.

In the case of simple negligence, FLOWSTATE is liable only for the breach of a material obligation, the fulfillment of which makes the proper performance of the pre-contractual relationship possible in the first place and on whose compliance the user may regularly rely (cardinal obligation). In this case, liability is limited to the typically foreseeable damage.

Otherwise, the liability of FLOWSTATE is excluded. Insofar as liability is excluded or limited, this also applies in favor of the founders, corporate bodies, representatives, employees, vicarious agents and other attributable persons of FLOWSTATE.

14. Indemnification

The user shall indemnify FLOWSTATE against all third-party claims arising from the user's unlawful use of the website or use of the website in breach of these terms, provided that the user is responsible for the breach of duty. The indemnification also covers the reasonable costs of legal defense.

15. Security notices and no assurances

16. Place of jurisdiction, applicable law

The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising from or in connection with the use of this website and all pre-contractual relationships initiated thereby is Düsseldorf, insofar as the user is a merchant (Kaufmann), a legal entity under public law or a special fund under public law.

17. Final provisions

Should individual provisions of these General Terms of Use be or become invalid, impracticable or unenforceable, in whole or in part, the validity of the remaining provisions shall remain unaffected. The invalid, impracticable or unenforceable provision shall be replaced by the legally permissible provision that comes closest to its economic purpose.
